These Terms of Service and Use (“TOS”) constitute a legally binging agreement between Make Way for Books (“MWFB”), and users (“You”) of the mobile application “Make Way for Books” as well as any other mobile applications owned or operated by MWFB, any websites owned or operated by MWFB, and any communication tools including email or any other content delivery method owned, operated, or utilized by MWFB (collectively, the “Make Way for Books Services”). These TOS incorporate by this reference MWFB’s Privacy Policy. You can learn how your information is handled when you use our services by reading the Privacy Policy.
Please read these TOS carefully and in their entirety before creating an Account or using the Make Way for Books Services. You agree to be bound by these TOS by creating an Account or using the Make Way for Books Services. If you do not agree to these TOS, you are not permitted to access the App, create an Account or use the Make Way for Books Services.
Make Way for Books SERVICES
The Make Way for Books app (the “App”) is a mobile application that encourages parents to engage with their children to transform everyday activities and moments into learning opportunities. MWFB offers the App and content through the App at no charge to users.
The App gives parents access to a wide variety of e-books and activities to read or perform with their children. In the App, parents can search for age-appropriate content, save content to their “favorites” list, and see what content other users are enjoying. The foregoing services constitute the core, but not the entirety, of what are collectively referred to as the Make Way for Books Services. MWFB plans to expand and build upon the Make Way for Books Services over time in an effort to make more features and services available to you. To optimize your experience with the Make Way for Books Services, you may create an Account in the App. You must accept these TOS to access the Make Way for Books Services.
ACCOUNT CREATION
You can download Make Way for Books from the Google Play Store or the Apple App Store. When you open Make Way for Books you will be prompted to create an Account. Should you choose to create an Account, you will be prompted to provide information needed for MWFB to create the Account, which information may include, but is not necessarily limited to, the following: full name, address, and/or email address. You must accept these TOS to create an Account.
People under thirteen (13) years of age are not permitted to create an Account, use the Make Way for Books Services, or purchase goods or services from MWFB. Persons who are thirteen (13) years of age or older but less than eighteen (18) years of age may create an Account, use the Make Way for Books Services, or purchase goods or services from MWFB if, and only if, they have permission from at least one of their parents or legal guardians.
SERVICE CANCELLATIONS
You can cancel the Make Way for Books Services by simply uninstalling the App.
When you uninstall the App, MWFB will still retain information associated with your installation and use of the App, as well as any Accounts that were created.
REPRESENTATIONS AND WARRANTIES
By creating an Account, using the Make Way for Books Services, or purchasing goods or services from MWFB, you represent and warrant that a) you are at least eighteen (18) years old, or at least thirteen (13) years old but not yet eighteen (18) years old and you have permission from one or more of your parents or legal guardians to create an Account, use the Make Way for Books Services, and/or purchase goods or services from MWFB; b) are accessing the Make Way for Books Services from a domestic location; c) all information you have supplied to MWFB is true and correct; d) you are legally competent; e) you accept these TOS and the Privacy Policy in their entirety; f) it is your exclusive obligation to know the laws, rules, regulations, and guidelines of the jurisdiction applicable to you, and you hereby represent and warrant that your use your Account and the Make Way for Books Services shall at all times comply with all such laws, rules, regulations, and guidelines; and g) you will not, now or in the future, either directly or through a third party, copy, modify, create derivative works, reverse engineer, disassemble, distribute, sell or license any of the Make Way for Books Services or the content therein, or any part thereof, to any third party.
ACCOUNT RULES
You may use your Account and the Make Way for Books Services only for personal, non-commercial use. Any other use is prohibited. You shall not exceed, or attempt to exceed, the authorizations associated with your Account and the Make Way for Books Services.
You shall not, directly or indirectly (i.e. through the use of a third party), access or attempt to access the Account of any other user of the Make Way for Books Services, or distribute software, tools, or instructions to enable such access. You shall not use MWFB, the Make Way for Books Services, or your Account for any illegal, unlawful, or criminal activity, or in any manner that violates the rights of a third party. Use of the App and access to the App content grants you a limited, revocable, personal, non-exclusive license to view material for your personal use.
If you decide to voluntarily grant access to your Account to a third party, you are responsible for any and all acts and omissions that such third party may take in connection with your Account. You agree to hold MWFB harmless for any acts or omissions taken by such third party, and shall indemnify MWFB from any and all liability arising out of, connected to, or related to any act or omission of any third party using your Account or using the Make Way for Books Services on your behalf.
MWFB reserves the right to review, monitor, record, and/or disclose any information as may be necessary to comply with any applicable laws, regulations, legal process, or governmental request. Should MWFB determine, in its sole discretion, that the activity on your Account is suspicious or related to any act or omission that would violate these TOS, or any illegal, unlawful, or criminal activity, MWFB may but is not required to terminate or suspend your Account, decline or delay any pending transactions, and/or decline or delay any new transactions.
RESPONSIBILITIES FOR ACCOUNT SECURITY
You shall keep your login and password associated with your Account confidential. You are responsible for safeguarding your Account and the login and password associated with your Account. You are hereby advised, and hereby accept the risk, that if you fail to maintain the confidentiality or security of your login, or password your Account may be accessed by third parties, and you may be harmed as a result. Possible harms include, but are not necessarily limited to, harm to your reputation, extortion by third parties, and/or financial losses. In no event shall MWFB be liable for any damages or losses which may be sustained, by you or by third parties, as a result of your failure to maintain the confidentiality and security of your login, password or as a result of any your failure to act upon Account information notifications and security alerts.
COMMUNICATIONS
MWFB may send emails to you regarding MWFB, the App, the Make Way for Books Services, your Account, and/or transactions involving your Account. These emails are required to maintain your Account. You agree to receive and review these emails from MWFB.
In addition, MWFB may from time to time send you emails about promotions or offers, which you may opt-out of by using the “Unsubscribe” link at the bottom of any such promotional email.
USE OF INFORMATION
MWFB may use some or all of the information you provide to MWFB to provide you with products or services, including improvements to MWFB’s provision of products and services. MWFB’s provision of these products and services may require MWFB to disclose some or all of your information to third parties. You are hereby informed that MWFB may provide third parties with some or all of the information you provide to MWFB in order for MWFB to comply with legal obligations including, but not necessarily limited to, legal process, subpoenas, investigations, and criminal prosecution. You hereby consent to such inquiries and disclosures of information.
RIGHTS RESERVED TO COMPANY
MWFB reserves the right to correct any errors, inaccuracies, or omissions on the Make Way for Books Services and to change or update information for goods or services offered.
MWFB reserves the right to decline, modify, limit, delay, or cancel Accounts that, in MWFB’s sole judgment, appear to be from unauthorized parties. MWFB reserves the right to prohibit you from using anonymity tools, such as virtual private networks or other mechanisms or devices that obfuscate your identity, location, internet protocol address, and media access control address (MAC ID) from accessing or using your Account, the App, the Make Way for Books Services, and/or MWFB.
MWFB reserves the right, in its sole discretion, to decline to create an Account for you.
MWFB reserves the right, in its sole discretion, to suspend, restrict, limit, or terminate your access to your Account, the App, the Make Way for Books Services, and/or MWFB at any time and for any reason, including but not limited to maintenance.
DISCLAIMERS AND LIMITATIONS ON LIABILITY
MWFB cannot, and does not, guarantee that your Account, the App, the Make Way for Books Services, and/or MWFB will always be available to you. Availability is subject to change at any time and without notice.
MWFB makes efforts to maintain correct information pertaining to your Account and information provided through the Make Way for Books Services, but you are hereby advised and acknowledge that your Account and the Make Way for Books Services, including the content therein, may contain errors or inaccuracies. You should immediately report any errors to the MWFB’s Customer Service department at makewayforbooksapp@gmail.com. MWFB reserves the right to change or update your Account, the App, and the Make Way for Books Services and content therein to correct such errors without giving you prior notice.
You hereby acknowledge and agree that it is your responsibility to verify information before acting on it, and any decisions you make based in whole or in part on your Account, the Make Way for Books Services, the App, and then content therein, are your sole responsibility, and MWFB has no liability for such decisions or actions.
Your Account, the App, the Make Way for Books Services, and the content therein may include links to other websites or third party materials, which may be provided as a convenience, but MWFB does not warrant or guarantee that such websites or third party materials are or shall remain accurate and available. MWFB is not responsible for the content or services offered by any third party, or on any third-party websites accessible through or linked to your Account, the App, or the Make Way for Books Services.
Any and all use of the internet carries inherent risks, including but not necessarily limited to viruses, malware, spyware, Trojans, worms, ransomware, phishing scams, spear-phishing scams, spoofing, intercepted communications, failure of communication, and/or failure of services. MWFB shall not be liable for any damage or harm caused by these and other such risks, including but not necessarily limited to infection of your computer, systems, hardware, software, servers, networks, and other equipment. You shall utilize comprehensive antivirus and anti-spyware software on any device that you use to connect to your Account, the App, or the Make Way for Books Services.
You are hereby advised to use caution and reasonable sense when reviewing emails, text messages, and other communications that purport to originate from MWFB or the Make Way for Books Services, and verify the authenticity of any communication that would appear suspicious to a reasonable person. As a reminder, MWFB will never ask for your password, and any communication that purports to do so is a scam to which you should not respond, but which you should instead report to MWFB for investigation. You can report any such concerns to MWFB at makewayforbooksapp@gmail.com.
MWFB hereby advises you to log into your Account only through the Make Way for Books Services and to never utilize any third party software or service to access your Account. While MWFB strives to protect your information, MWFB cannot and does not ensure or warrant the security of any information you provide to MWFB. You acknowledge and assume this risk by accepting these TOS.
The Make Way for Books Services are provided on “as is” and “as available” basis without any representation or warranty, whether express, implied or statutory. MWFB specifically disclaims any implied warranties of title, merchantability, and/or fitness for a particular purpose.
In no event shall MWFB, including its officers, directors, members, managers, contractors, agents, joint venturers, attorneys, employees, or representatives, be liable to you or anyone on your behalf, for any indirect, special, incidental, intangible, punitive, or consequential damages, whether based in contract, tort, negligence, strict liability, or otherwise, arising out of or in connection with authorized or unauthorized use of your Account, the Make Way for Books Services, the App, or through a breach of these TOS.
FORCE MAJEURE
MWFB shall not be liable for delays, failure in performance, or interruption of service which results directly or indirectly from any cause or condition beyond its reasonable control, including without limitation, the following: earthquake, storm, accident, explosion, flood, perils of the sea, the elements, casualty, lock-outs, power failures, telecommunications failures, fire, other acts of nature, epidemic, war (whether or not declared), riot, sabotage, hostility, public disturbance, cessation of transport, act of public enemies, prohibition, terrorism, enduring unavailability of materials or machinery necessary to manufacture products, act by a government or public agency, embargo, strike, or other labor dispute or work stoppage.
RELEASE AND INDEMNIFICATION
You shall defend, indemnify and hold MWFB, including its officers, directors, members, managers, contractors, agents, joint venturers, attorneys, employees, and representatives, harmless from any claim or demand (including damages, attorneys’ fees, costs, fines, fees, interest, or penalties), arising out of or related to your breach of these TOS; your interactions with MWFB, your use of the App, the Make Way for Books Services, and/or your Account; your violation of any law, rule, regulation, or guideline applicable to you; and/or your violation of the rights of any third party, regardless of whether such violation was intentional.
ENTIRE AGREEMENT
These TOS, including the Privacy Policy incorporated herein, constitute the entire agreement between you and MWFB and shall supersede any and all prior and contemporaneous negotiations, correspondence, understandings and agreements of any kind (including without limitation any prior versions of these TOS), between you and MWFB with respect to the subject matter hereof.
AMENDMENT
MWFB may amend or modify these TOS at any time and without notice. MWFB shall notify you by making the revised TOS available to you through the App, and the revised TOS shall be effective from that date forward. Your continued use of the App, the Make Way for Books Services, and/or your Account constitutes your acceptance of the revised TOS. If you do not agree with any modification or amendment of these TOS, your sole and exclusive remedy is to terminate your use of the App, the Make Way for Books Services, and your Account. MWFB may suspend, alter, or terminate, with immediate effect and without notice, the operation of MWFB, the App, the Make Way for Books Services, and/or your Account. You agree that MWFB shall not be liable to you or any third party for any modification or amendment of these TOS and any changes in the App, the Make Way for Books Services, and/or your Account.
ASSIGNMENT
MWFB may assign MWFB’s rights and responsibilities under these TOS, including information MWFB collects about you, to certain entities including without limitation any successor in interest of MWFB, or any other entity with whom MWFB merges or is acquired by, or to any entity that purchases substantially all of MWFB’s assets. You may not assign any rights and/or licenses granted under these TOS. Any attempted transfer or assignment in violation of this clause shall be null and void. Subject to the foregoing, these TOS shall inure to the benefit of you and MWFB, including each of their respective successors and permitted assigns.
HEADINGS
Section headings in these TOS are for convenience only, and shall not govern the meaning or interpretation of any provision of these TOS.
RELATIONSHIP BETWEEN THE PARTIES
The relationship between you and MWFB is that of independent contractors, and nothing in these TOS shall be deemed to create between you and MWFB any other form of relationship. You and MWFB shall not be deemed to be partners, joint ventures, or agents. You are not authorized to make any representations or obligations on behalf of MWFB.
REMEDIES FOR BREACH
In the event that you violate these TOS, MWFB may but is not required to immediately terminate your access to MWFB, the App, the Make Way for Books Services, and/or your Account, and any pending transactions associated therewith. You shall be responsible for any losses incurred by MWFB as a result of such violation of these TOS and/or the termination of your access to MWFB, the App, the Make Way for Books Services, and/or your Account. In the event of a material breach of these TOS by MWFB, your remedy is limited to the amount you paid to MWFB.
WAIVER
No waiver of any default hereunder by MWFB or any failure to enforce MWFB’s rights hereunder shall be deemed to constitute a waiver of any subsequent default with respect to the same or any other provision hereof.
SEVERABILITY
Whenever possible, each term and provision of these TOS shall be interpreted in such manner as to be valid and effective under applicable laws, but, if any term or provision of these TOS is held by a court of competent jurisdiction to be invalid or unenforceable, such term or provision shall be invalid and ineffective only to the extent of such invalidity or unenforceability, without invalidating or making unenforceable the remainder of these TOS. In the event of such invalidity or unenforceability, you and MWFB shall use reasonable efforts to seek and agree on an alternative valid and enforceable provision that preserves the original purpose and intent of these TOS.
SURVIVAL
These TOS shall extend beyond the expiration or termination of these TOS insofar as they contain clauses pertaining to suspension, termination, closure of your Account, uninstalling the App, debts owed by you to MWFB, your access to and use of the Make Way for Books Services, and disputes between you and MWFB.
GOVERNING LAW, EXCLUSIVE JURISDICTION, AND ATTORNEYS’ FEES AND COSTS
The construction, validity and performance of these TOS shall be governed in all respects by the laws of the United States of America, as supplemented by the laws of the State of Arizona, including but not limited to Arizona’s statutes of limitations, without giving effect to any conflict-of-laws or other rule that would result in the application of the laws of a jurisdiction other than the United States of America or the State of Arizona.
By accessing or using MWFB, the Make Way for Books Services, and/or your Account, you agree that the collection, use, transfer, and disclosure of your information and communications will be governed by the applicable laws of the United States of America, as supplemented by the laws of the State of Arizona.
You and MWFB hereby irrevocably stipulate to exclusive jurisdiction, venue, and forum in the state and federal courts located in Maricopa County, Arizona, for any dispute arising out of these TOS, and to the greatest extent possible waive any defense of forum non-conveniens.
In the event that any claim, suit, action, or proceeding is instituted or commenced by either party against the other party arising out of, or related to, these TOS, the prevailing party shall recover its attorneys’ fees and costs from the non-prevailing party at both the trial and appellate levels. You and MWFB irrevocably and unconditionally waive any right either party may have to a trial by jury in respect of any claim, suit, action, or proceeding arising out of or relating to these TOS or the transactions contemplated hereby.

SERVICIOS de Make Way for Books
La aplicación Make Way for Books (la “Aplicación”) es una aplicación móvil que anima a los padres a participar con sus niños para transformar las actividades y momentos cotidianos en oportunidades de aprendizaje. MWFB ofrece la Aplicación y el contenido a través de la Aplicación sin costo alguno para los usuarios.

En la Aplicación, los padres pueden buscar contenido apropiado para la edad de sus niños, guardar el contenido en su lista de “favoritos” y ver qué contenido disfrutan otros usuarios. Los servicios anteriores constituyen lo básico, pero no la totalidad, de lo que se denomina colectivamente como Servicios de Make Way for Books. MWFB planea expandir y desarrollar los servicios de Make Way for Books a lo largo del tiempo en un esfuerzo por poner a su disposición más características y servicios. CREACIÓN DE LA CUENTA

Debe aceptar estos TOS para poder crear una cuenta.
Las personas menores de trece (13) años de edad no tienen permitido crear una Cuenta, utilizar los Servicios de Make Way for Books o comprar bienes o servicios de MWFB. Las personas que tengan trece (13) años o más pero menos de dieciocho (18) años de edad pueden crear una Cuenta, utilizar los Servicios de Make Way for Books o comprar bienes o servicios de MWFB si, y sólo si, tienen permiso de al menos uno de sus padres o tutores legales.
CANCELACIÓN DE SERVICIOS
Puede cancelar los Servicios de Make Way for Books simplemente desinstalando la Aplicación.
Cuando desinstale la Aplicación, MWFB seguirá conservando la información relacionada con su instalación y uso de la Aplicación, así como las Cuentas que se hayan creado.
REPRESENTACIONES Y GARANTÍAS
Al crear una Cuenta, utilizar los Servicios de Make Way for Books, o al comprar bienes o servicios de MWFB, usted declara y garantiza que a) tiene al menos dieciocho (18) años o al menos trece (13) años de edad pero aún no tiene dieciocho (18) años y tiene el permiso de uno o más de sus padres o tutores legales para crear una Cuenta, utilizar los Servicios de Make Way for Books y/o comprar bienes o servicios de MWFB; b) está accediendo a los Servicios de Make Way for Books desde una ubicación doméstica; c) toda la información que ha suministrado a MWFB es verdadera y correcta; d) usted es legalmente competente; e) acepta estos TOS y la Política de Privacidad en su totalidad; f) es su obligación exclusiva conocer las leyes, normas, reglamentos y pautas de la jurisdicción que le sean aplicables, y por la presente declara y garantiza que el uso que haga de su Cuenta y de los Servicios de Make Way for Books cumplirá en todo momento con todas esas leyes, normas, reglamentos y pautas; y g) no copiará, ahora o en el futuro, ya sea directamente o a través de un tercero, ni modificará, creará trabajos derivados, utilizará ingeniería inversa, desmontará, distribuirá, venderá o licenciará ninguno de los Servicios de Make Way for Books o el contenido o cualquier parte de los mismos, a ningún tercero.
REGLAS DE LA CUENTA
Puede utilizar su Cuenta y los Servicios de Make Way for Books sólo para uso personal y no comercial. Cualquier otro uso está prohibido. No deberá exceder, ni intentar exceder, las autorizaciones asociadas con su Cuenta y los Servicios de Make Way for Books.
No deberá, directa o indirectamente (es decir, a través del uso de un tercero), acceder o intentar acceder a la Cuenta de cualquier otro usuario de los Servicios de Make Way for Books, o distribuir software, herramientas o instrucciones para permitir dicho acceso. No deberá usar MWFB, los servicios de Make Way for Books, o su Cuenta para cualquier actividad ilegal, ilícita o criminal, o de cualquier manera que viole los derechos de un tercero. El uso de la Aplicación y el acceso al contenido de la misma le otorga una licencia limitada, revocable, personal y no exclusiva para ver material para su uso personal.
Si decide conceder voluntariamente el acceso a su Cuenta a un tercero, será responsable de todos los actos y omisiones que dicho tercero pueda realizar en relación con su Cuenta. Usted acepta eximir a MWFB de toda responsabilidad por los actos u omisiones realizados por dicho tercero, e indemnizará a MWFB de toda responsabilidad que surja de, esté conectada con o se relacione con cualquier acto u omisión de un tercero que utilice su Cuenta o que utilice los Servicios de Make Way for Books en su nombre.
MWFB se reserva el derecho de revisar, supervisar, registrar y/o revelar cualquier información que sea necesaria para cumplir con cualquier ley, regulación, proceso legal o solicitud gubernamental aplicable. En caso de que MWFB determine, a su criterio exclusivo, que la actividad en su Cuenta es sospechosa o está relacionada con cualquier acto u omisión que pudiera violar estos TOS, o cualquier actividad ilegal, ilícita o criminal, MWFB podrá, pero no estará obligada a dar por terminada o suspender su Cuenta, rechazar o retrasar cualquier transacción pendiente y/o rechazar o retrasar cualquier nueva transacción.
RESPONSABILIDADES PARA LA SEGURIDAD DE LA CUENTA
Deberá mantener el nombre de usuario y la contraseña asociados a su Cuenta de forma confidencial. Es responsable de salvaguardar su Cuenta y el nombre de usuario y la contraseña asociados a la misma. En la presente, se le informa, y acepta el riesgo, de que si no mantiene la confidencialidad o seguridad de su nombre de usuario o contraseña, terceros podrán acceder a su Cuenta y usted podría resultar perjudicado como consecuencia de ello. Los posibles daños incluyen, pero no se limitan a, daños a su reputación, extorsión por parte de terceros y/o pérdidas financieras. En ningún caso, MWFB será responsable de los daños o pérdidas que puedan sufrir usted o terceros como resultado de que no mantenga la confidencialidad y seguridad de su nombre de usuario y contraseña o como resultado de que no actúe sobre las notificaciones de información de la Cuenta y las alertas de seguridad.
COMUNICACIONES
MWFB puede enviarle correos electrónicos en relación con MWFB, la Aplicación, los Servicios de Make Way for Books, su Cuenta y/o las transacciones relacionadas con su Cuenta. Estos correos electrónicos son necesarios para mantener su Cuenta. Usted acepta recibir y revisar estos correos electrónicos de MWFB.
Adicionalmente, MWFB puede enviarle de vez en cuando correos electrónicos sobre promociones u ofertas, de los cuales usted puede optar por no suscribirse utilizando el enlace “Cancelar la Suscripción” en la parte inferior de dichos correos electrónicos promocionales.
USO DE INFORMACIÓN
MWFB puede utilizar parte o toda la información que usted proporcione a MWFB para ofrecerle productos o servicios, incluyendo mejoras en el suministro de productos y servicios de MWFB. El suministro de estos productos y servicios por parte de MWFB puede requerir que MWFB revele parte o toda su información a terceros. En la presente, se le informa que MWFB puede proporcionar a terceros parte o toda la información que usted proporcione a MWFB a fin de que éste cumpla con las obligaciones legales, incluidas, pero sin limitarse a, procesos legales, citaciones, investigaciones y enjuiciamiento penal. DERECHOS RESERVADOS A LA EMPRESA
MWFB se reserva el derecho de corregir cualquier error, inexactitud u omisión en los servicios de Make Way for Books y de cambiar o actualizar la información de los bienes o servicios ofrecidos.
MWFB se reserva el derecho de rechazar, modificar, limitar, retrasar o cancelar las Cuentas que, a criterio exclusivo de MWFB, parezcan ser de partes no autorizadas. MWFB se reserva el derecho de prohibirle el uso de herramientas de anonimato, como redes privadas virtuales u otros mecanismos o dispositivos que ofusquen su identidad, ubicación, dirección de protocolo de Internet y dirección de control de acceso a los medios (MAC ID) para acceder o utilizar su Cuenta, la Aplicación, los Servicios de Make Way for Books y/o MWFB.
MWFB se reserva el derecho, a su criterio exclusivo, de declinar la creación de una Cuenta para usted.
MWFB se reserva el derecho, a su criterio exclusivo, de suspender, restringir, limitar o cancelar su acceso a su Cuenta, la Aplicación, los Servicios de Make Way for Books y/o MWFB en cualquier momento y por cualquier razón, incluyendo pero sin limitarse al mantenimiento.
RENUNCIAS Y LIMITACIONES DE LA RESPONSABILIDAD
MWFB no puede garantizar, y no garantiza, que su Cuenta, la Aplicación, los Servicios de Make Way for Books y/o MWFB estén siempre disponibles para usted. La disponibilidad está sujeta a cambios en cualquier momento y sin previo aviso.
MWFB se esfuerza por mantener la información correcta relacionada con su Cuenta y a la información proporcionada a través de los Servicios de Make Way for Books, pero en la presente se le informa y notifica que su Cuenta y los Servicios de Make Way for Books, incluido el contenido de los mismos, pueden contener errores o inexactitudes. Debe informar inmediatamente de cualquier error al departamento de Atención al Cliente de MWFB en makewayforbooksapp@gmail.com. MWFB se reserva el derecho de cambiar o actualizar su Cuenta, la Aplicación y los Servicios de Make Way for Books y el contenido de los mismos para corregir dichos errores sin previo aviso.
Usted reconoce y acepta que es su responsabilidad verificar la información antes de actuar sobre ella, y que cualquier decisión que tome basada total o parcialmente en su Cuenta, en los Servicios de Make Way for Books, en la Aplicación, y en el contenido de la misma, es de su exclusiva responsabilidad, y que MWFB no tiene ninguna responsabilidad por tales decisiones o acciones.
Su Cuenta, la Aplicación, los Servicios de Make Way for Books y el contenido de los mismos pueden incluir enlaces a otros sitios web o a materiales de terceros, que pueden proporcionarse para mayor comodidad, pero MWFB no garantiza ni asegura que dichos sitios web o materiales de terceros sean o permanezcan correctos y disponibles. MWFB no se hace responsable del contenido o los servicios ofrecidos por terceros, ni de los sitios web de terceros a los que se pueda acceder a través de su Cuenta, la Aplicación o los Servicios de Make Way for Books o que estén vinculados a ellos.
Todo uso de Internet conlleva riesgos implícitos, incluidos, pero sin limitarse a, virus, programas maliciosos, programas espía, troyanos, gusanos, cibersecuestro de datos, ciberestafas, estafas de spear-phishing, falsificación de identidad, comunicaciones interceptadas, fallos de comunicación y/o fallos en los servicios. MWFB no será responsable de ningún daño o perjuicio causado por estos y otros riesgos de este tipo, incluyendo pero sin limitarse a la infección de su computadora, sistemas, hardware, software, servidores, redes y otros equipos. Usted usará un programa de antivirus y anti-espía en cualquier dispositivo que utilice para conectarse a su Cuenta, a la Aplicación o a los Servicios de Make Way for Books.
En la presente, se le aconseja que tenga cuidado y sentido común al revisar correos electrónicos, mensajes de texto y otras comunicaciones que puedan originarse en MWFB o en los servicios de Make Way for Books, y que verifique la autenticidad de cualquier comunicación que pudiera parecer sospechosa para una persona razonable. Como recordatorio, MWFB nunca le pedirá su contraseña, y cualquier comunicación que pretenda hacerlo es una estafa a la que no debe responder, sino que debe informar a MWFB para su investigación. Puede informar a MWFB de cualquier preocupación de este tipo al makewayforbooksapp@gmail.com.
En la presente, MWFB le aconseja que acceda a su Cuenta sólo a través de los Servicios de Make Way for Books y que nunca utilice ningún software o servicio de terceros para acceder a su Cuenta. Aunque MWFB se esfuerza por proteger su información, MWFB no puede y no garantiza la seguridad de cualquier información que proporcione a MWFB. Usted reconoce y asume este riesgo al aceptar estos TOS.
Los Servicios de Make Way for Books se proporcionan “cómo es” y “según la disponibilidad” sin ninguna representación o garantía, ya sea expresa, implícita o estatutaria. MWFB renuncia específicamente a cualquier garantía implícita de título, comerciabilidad y/o idoneidad para un propósito particular.
En ningún caso MWFB, incluidos sus funcionarios, directores, miembros, gerentes, contratistas, agentes, empresas conjuntas, abogados, empleados o representantes, serán responsables ante usted o cualquier persona en su nombre por ningún daño indirecto, especial, incidental, intangible, punitivo o consecuente, ya sea basado en un contrato, agravio, negligencia, responsabilidad estricta o de otro tipo, que surja o esté relacionado con el uso autorizado o no autorizado de su Cuenta, los Servicios de Make Way for Books, la Aplicación o mediante el incumplimiento de estos TOS.
CAUSA MAYOR
MWFB no será responsable de los atrasos, fallos de funcionamiento o interrupciones del servicio que resulten directa o indirectamente de cualquier causa o condición más allá de su control razonable, incluyendo, sin limitarse a, lo siguiente: terremotos, tormentas, accidentes, explosiones, inundaciones, peligros del mar, los elementos, bajas, cierres patronales, cortes de electricidad, fallas de telecomunicaciones, incendios, otros actos de la naturaleza, epidemias, guerras (declaradas o no), disturbios, sabotajes, hostilidades, alteraciones del orden público, cese de transportes, actos de enemigos públicos, prohibiciones, terrorismo, indisponibilidad permanente de materiales o maquinaria necesarios para la fabricación de productos, actos de un gobierno u organismo público, embargos, huelgas u otros conflictos laborales o paros laborales.
LIBERACIÓN E INDEMNIZACIÓN
Usted defenderá, indemnizará y eximirá de responsabilidad a MWFB, incluidos sus funcionarios, directores, miembros, gerentes, contratistas, agentes, empresas conjuntas, abogados, empleados y representantes, por cualquier reclamación o demanda (incluidos daños, honorarios de abogados, costos, multas, honorarios, intereses o penalidades) que surja o esté relacionada con su incumplimiento de estos TOS; sus interacciones con MWFB, su uso de la Aplicación, los Servicios de Make Way for Books y/o su Cuenta; su violación de cualquier ley, norma, reglamento o pauta que le sea aplicable; y/o la violación de los derechos de cualquier tercero, independientemente de si dicha violación fue intencional o no.
ACUERDO COMPLETO
Estos TOS, incluida la Política de Privacidad incorporada en el presente documento, constituyen el acuerdo completo entre usted y MWFB y sustituirán a todas y cada una de las negociaciones, correspondencia, entendimientos y acuerdos anteriores y contemporáneos de cualquier tipo (incluyendo, sin limitarse a, cualquier versión anterior de estos TOS), entre usted y MWFB con respecto al objeto del presente documento.
ENMIENDA
MWFB puede enmendar o modificar estos TOS en cualquier momento y sin previo aviso. MWFB le notificará poniendo a su disposición los TOS revisados a través de la Aplicación, y las TOS revisados entrarán en vigor a partir de esa fecha. El uso continuo de la Aplicación, los Servicios de Make Way for Books y/o su Cuenta constituye su aceptación de los TOS revisados. Si no está de acuerdo con alguna modificación o enmienda de estos TOS, su único y exclusivo remedio es dar por terminado el uso de la Aplicación, los Servicios de Make Way for Books y su Cuenta. MWFB podrá suspender, modificar o cancelar, con efecto inmediato y sin previo aviso, el funcionamiento de MWFB, la Aplicación, los Servicios de Make Way for Books y/o su Cuenta. Usted acepta que MWFB no será responsable ante usted ni ante ningún tercero por cualquier modificación o enmienda de estos TOS y por cualquier cambio en la Aplicación, los Servicios de Make Way for Books y/o su Cuenta.
CESIÓN
MWFB puede ceder los derechos y responsabilidades de MWFB en virtud de estos TOS, incluida la información que MWFB recopila sobre usted, a determinadas entidades, entre las que se incluye, sin limitarse a, cualquier sucesor en interés de MWFB, o cualquier otra entidad con la que MWFB se fusione o sea adquirida por ella, o a cualquier entidad que compre sustancialmente todos los activos de MWFB. No puede ceder ningún derecho y/o licencia otorgada en virtud de estos TOS. Cualquier intento de transferencia o cesión en violación de esta cláusula será nulo y sin efecto. Sujeto a lo anterior, estos TOS se entenderán en beneficio de usted y de MWFB, incluyendo a cada uno de sus respectivos sucesores y cesionarios permitidos.
TÍTULOS
Los encabezados de las secciones de estos TOS son sólo por conveniencia, y no regirán el significado o la interpretación de ninguna disposición de estos TOS.
RELACIÓN ENTRE LAS PARTES
La relación entre usted y MWFB es la de contratistas independientes, y nada en estos TOS se considerará que crea ninguna otra forma de relación entre usted y MWFB. Usted y MWFB no se considerarán socios, empresas conjuntas o agentes. Usted no está autorizado a hacer ninguna representación u obligación en nombre de MWFB.
RECURSOS POR INCUMPLIMIENTO
En caso de que usted viole estos TOS, MWFB puede, pero no está obligada, a cancelar inmediatamente su acceso a MWFB, a la Aplicación, a los Servicios de Make Way y/o a su Cuenta, y a cualquier transacción pendiente relacionada con ellos. Usted será responsable de cualquier pérdida incurrida por MWFB como resultado de dicha violación de estos TOS y/o la terminación de su acceso a MWFB, la Aplicación, los Servicios de Make Way for Books y/o su Cuenta. En el caso de una violación material de estos TOS por parte de MWFB, su recurso se limita a la cantidad que usted pagó a MWFB.
RENUNCIA
No se considerará que la renuncia a cualquier incumplimiento del presente documento por parte de MWFB o el hecho de no hacer valer los derechos de MWFB en virtud del presente documento constituya una renuncia a cualquier incumplimiento posterior con respecto a la misma o cualquier otra disposición del presente documento.
DIVISIBILIDAD
Siempre que sea posible, cada término y disposición de estos TOS se interpretará de manera que sea válido y eficaz en virtud de las leyes aplicables, pero, si un tribunal de jurisdicción competente considera que algún término o disposición de estos TOS es inválido o inaplicable, dicho término o disposición será inválido e ineficaz sólo en la medida de dicha invalidez o inaplicabilidad, sin invalidar o hacer inaplicable el resto de estos TOS. En caso de tal invalidez o imposibilidad de aplicación, usted y MWFB harán esfuerzos razonables para buscar y acordar una disposición alternativa válida y aplicable que preserve el propósito e intención originales de estos TOS.
VIGENCIA
Estos TOS se extenderán más allá de la expiración o terminación de estos TOS en la medida en que contengan cláusulas relativas a la suspensión, terminación, cierre de su Cuenta, desinstalación de la Aplicación, deudas que usted tenga con MWFB, su acceso y uso de los Servicios de Make Way for Books, y las disputas entre usted y MWFB.
LEY VIGENTE, JURISDICCIÓN EXCLUSIVA Y LOS HONORARIOS Y COSTOS DE LOS ABOGADOS
La interpretación, validez y cumplimiento de estos TOS se regirán en todos los aspectos por las leyes de los Estados Unidos de América, complementadas por las leyes del Estado de Arizona, incluidas, sin limitarse a, los Estatutos de Limitación de Arizona, sin dar efecto a ningún conflicto de leyes u otra norma que dé lugar a la aplicación de las leyes de una jurisdicción distinta de la de los Estados Unidos de América o el Estado de Arizona.
Al acceder o utilizar MWFB, los Servicios de Make Way for Books, y/o su Cuenta, usted acepta que la recopilación, el uso, la transferencia y la divulgación de su información y comunicaciones se regirá por las leyes aplicables de los Estados Unidos de América, complementadas por las leyes del Estado de Arizona.
En la presente, usted y MWFB, estipulan irrevocablemente a la jurisdicción exclusiva, el lugar y el foro en el estado y los tribunales federales ubicados en el Condado de Maricopa, Arizona, para cualquier disputa que surja de estos TOS, y en la mayor medida posible renunciar a cualquier defensa de foro no convenientes.
En caso de que cualquiera de las partes presente o inicie una reclamación, demanda, acción o procedimiento contra la otra parte que se derive de las presentes TOS o esté relacionada con ellas, la parte ganadora recuperará los honorarios y costos de sus abogados de la parte no ganadora tanto en el juicio como en la apelación. Usted y MWFB renuncian irrevocable e incondicionalmente a cualquier derecho que cualquiera de las partes pueda tener a un juicio por jurado con respecto a cualquier reclamación, demanda, acción o procedimiento que surja o se relacione con estos TOS o las transacciones contempladas en el presente documento.
